  • 1. Exclusively 12-Month Contracts: At our core, we specialize in fulfilling orders that range from 12,500 MT to 500,000 MT per month, exclusively within 12-month contracts. We maintain a strict policy of not engaging in contracts for shorter or longer durations than 12 months. Furthermore, our transactions are conducted solely under CIF incoterms, and we do not work with FOB arrangements.
  • 2. Quality Over Bargain Prices: If you are seeking bargain prices in the range of USD 200 or USD 300 or have a supposed “cheap offer” in hand, we kindly request that you refrain from contacting us. We pride ourselves on providing our clients with the best possible prices within our pricing structure. We do not entertain negotiations or requests for lower prices, as we ensure that our initial quotations are competitive.
  • 3. Registered and Compliant: All our suppliers are registered with AQSIQ for the export of food products, including sugar, as well as with GACC. However, we prioritize formal negotiations and safeguard our time and resources for clients who have initiated the process by providing a Letter of Intent (LOI) and Proof of Funds (POF) in the form of either RWA (Ready, Willing, and Able) or BCL (Bank Comfort Letter).
  • 4. Non-Negotiable Procedures: It’s essential to understand that our procedures are non-negotiable. Any adjustments can only be considered after the buyer ratifies them, and the buyer’s financial capacity is confirmed by our bank officer. We adhere to a stringent Due Diligence process that follows international standards. This ensures the security and integrity of our transactions, protecting both buyers and sellers alike.

PROCEDURES

Introduction:

Welcome to our established procedures for Brazilian commodities negotiations. To ensure clarity, transparency, and efficiency in our transactions, we have meticulously outlined the steps that must be followed without exception. These procedures are designed to prevent errors, confusion, and setbacks, and we expect all participants to adhere to them diligently. Please be aware that any deviation from these procedures will result in the inability to proceed with negotiations.

Important: We exclusively accept original documents; copy/paste or cut/paste documents will not be considered. The price confirmation is contingent on the verification of the financial instrument through a SWIFT message in a bank-to-bank transaction.

Sequential Process for Successful Negotiations:

1. Initiating the Process:

  • The buyer must initiate the process by sending a Letter of Intent (LOI) properly addressed, signed, and stamped on official company letterhead paper.
  • An RWA (Ready, Willing, and Able) or BCL (Bank Comfort Letter) issued by the bank officer responsible for bank-to-bank communication, on the official letterhead of the issuing bank, must accompany the LOI.
  • Note: All communication starting from this point must be conducted through corporate email accounts. Generic or free email accounts will not be accepted.

2. Seller’s Response:

  • The seller responds with a Full Corporate Offer (FCO) that includes all necessary bank details, duly signed, and stamped.

3. Buyer’s Confirmation:

  • The buyer issues an Irrevocable Corporate Purchase Order (ICPO) with comprehensive banking details, including the identification of the signatory.
  • The ICPO must be signed and stamped on the official letterhead of the company, dated not more than 48 hours old.
  • Submission of the Client Information Sheet (CIS), along with a copy of the Company Incorporation, is also required to validate the ICPO.
  • The Chinese Import Quota is a necessary requirement for contracts to be delivered in the Republic of China.
  • The buyer holds the sole responsibility for obtaining any necessary special importation license for the destination country.

4. Draft SPA and Financial Instrument:

  • The seller provides a Draft Sales and Purchase Agreement (SPA).
  • If necessary, the buyer reviews, comments on, signs, and stamps the SPA.
  • The buyer also shares the verbiage of the financial instrument intended for payment or guarantee for review and approval by the seller’s bank (Santander Brasil S/A).

5. Final SPA and Documentation:

  • The seller issues the final version of the SPA, signed, and stamped, along with company’s incorporation documents, export licenses, and the signatory’s valid ID/Passport.
  • Upon request, we can provide the correct verbiage for the financial instrument.

6. Bank Communication:

  • Alongside the final SPA, the seller confirms the verbiage text or indicates any necessary amendments.
  • The buyer’s bank initiates bank-to-bank communication via SWIFT message to the seller’s bank, following the instructions of Santander Brasil S/A.
  • The buyer is requested to share the SWIFT communication with us to expedite the process.

7. Instrument Confirmation:

  • The seller’s bank trading officer reviews and confirms the financial instrument via SWIFT message in a bank-to-bank communication.
  • A copy of this SWIFT message is provided to the buyer as a courtesy.

8. Proof of Product (POP):

  • The seller’s bank officer replies with Proof of Product (POP) to the buyer.
    Please note that Past Performance Evidence (PPE) will not be provided.

9. Financial Instrument Issuance:

  • The buyer’s bank issues the financial instrument, either Standby Letter of Credit (SBLC) or Documentary Letter of Credit (DLC).
  • The instrument must be irrevocable, transferable, divisible, operative, and confirmed from a top 50 bank, issued from the account of the end buyer who signed the SPA with the seller.
  • Leased LC’s will not be accepted.

Conclusion:

We emphasize the importance of strictly following these procedures to ensure a smooth and successful transaction. Any deviation may result in the inability to proceed with the negotiation. Your understanding and adherence to these steps are greatly appreciated.

SMALL QUANTITIES SHIPPED IN CONTAINERS

When it comes to container shipments of up to 1,000 metric tons (MT), we have a dedicated process designed for your convenience. Please note the following important details:

1. Spot Purchases Only:

  • Container shipments are exclusively available for spot purchases.
  • We do not offer the possibility of establishing 12-month contracts for this category.

2. Container Capacity:

  • A 20-foot container can accommodate a full load of up to 26 MT.
  • We are equipped to fulfill orders ranging up to 1,000 MT.
  • Our standard incoterms for container shipments are CFR or CIF; we do not operate on FOB terms.

3. Pricing Considerations:

  • It’s essential to be aware that prices for container shipments differ significantly from those for bulk orders on vessels. Container shipping costs are generally higher due to the convenience and flexibility they offer for smaller quantities.

4. Payment Terms:

  • An initial payment of 50% is required upon the issuance of the Proforma Invoice (PI).
  • The remaining 50% is due shortly after you receive a copy of the Bill of Lading (B/L).
  • Please note that payment via Letter of Credit (LC) is not an option for container shipments; we only accept Telegraphic Transfer (TT) as the payment method.
